Terms and Conditions
These Terms and Conditions (“Terms”) govern your use of the CUBX platform at www.shipping-containers.com, operated by Containerbasis Pty Ltd (“we”, “us”, or “our”). CUBX is an independent marketplace that connects customers with vetted third-party suppliers. We do not sell, own, or deliver containers ourselves. By using our platform or submitting a request, you agree to these Terms.
1. Definitions
- “Customer” means the person or entity submitting a request or inquiry through our platform.
- “Supplier” means an independent third-party business in our network that may provide quotes, containers, delivery, or related services.
- “Platform” means the CUBX website and request/quote tools.
- “Goods and Services” means shipping containers, modifications, delivery, and related services provided by Suppliers.
2. Our Role as a Marketplace
- CUBX connects Customers with Suppliers. We are not a party to any purchase, rental, or service contract between a Customer and a Supplier.
- Any contract for Goods and Services is formed directly between the Customer and the relevant Supplier, on that Supplier’s own terms.
- We do not guarantee the availability, condition, pricing, or performance of any Supplier or its Goods and Services. We vet Suppliers in good faith but do not control them.
3. Requests, Quotes, and Orders
- Submitting a request through our platform is not an order. It allows Suppliers in our network to contact you with quotes.
- Quotes are provided by Suppliers and are valid only for the period each Supplier states.
- A binding agreement is formed only between you and a Supplier, when that Supplier confirms your order under its own terms.
4. Prices and Payment
- All prices are quoted by Suppliers and are exclusive of applicable taxes unless stated otherwise.
- Payment terms, invoicing, and methods are set by the Supplier you choose. We do not collect payment for Goods and Services on a Supplier’s behalf unless expressly stated.
5. Delivery & Site Conditions
- Delivery is arranged and performed by the Supplier or its carrier. Delivery dates are estimates only.
- The Customer is responsible for ensuring safe, level, and accessible ground for delivery, and for any permits required at the delivery location.
- Failed deliveries due to site inaccessibility may incur re-delivery fees charged by the Supplier or carrier.
6. Condition of Goods
- Used containers may show signs of wear, surface rust, dents, or repairs.
- New or one-trip containers may have minor handling marks from initial transport.
- Images on our platform are illustrative only and may not reflect the exact container a Supplier delivers.
7. Cancellations and Returns
- Cancellations, returns, restocking fees, and refunds are governed by the terms of the Supplier you contract with.
- We are not responsible for processing refunds or returns for Goods and Services sold by Suppliers.
8. Disclaimers and Limitation of Liability
- The platform is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
- We are not liable for the acts, omissions, Goods, or Services of any Supplier.
- To the fullest extent permitted by law, our total liability arising out of or relating to the platform is limited to USD 100, and we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits.
9. Indemnity
- You agree to indemnify and hold harmless CUBX and Containerbasis Pty Ltd against all claims, losses, or damages arising from your use of the platform, your dealings with any Supplier, or your breach of these Terms.
10. Intellectual Property
- All content on the platform, including text, graphics, logos, and the CUBX brand, is owned by or licensed to us and may not be copied or reused without our written permission.
11. Force Majeure
- We are not liable for any failure or delay caused by events beyond our reasonable control, including strikes, severe weather, transport disruption, outages, or government action.
12. Severability
- If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
13. Governing Law & Jurisdiction
- These Terms, and any dispute arising out of or relating to them or to your use of the platform, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Delaware have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts. Nothing in this section affects any non-waivable rights you may have under the consumer-protection laws of your home state.
14. Changes to These Terms
We may update these Terms from time to time. The current version is always posted on this page, and your continued use of the platform means you accept the updated Terms.
